Terms of Service

PLEASE READ THE TERMS OF SERVICE ("AGREEMENT") CAREFULLY BEFORE USING THE SERVICES OFFERED BY RAINDROPS KIDS. BY USING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS AGREEMENT AND AGREE TO BE BOUND BY AND COMPLY WITH THIS AGREEMENT, WHICH IS A CONTRACT BETWEEN YOU AND RAINDROPS KIDS. IF YOU DO NOT UNCONDITIONALLY AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE THE SERVICES.

This clause does not apply to consumers residing in Quebec acting in their individual capacity: THIS AGREEMENT CONTAINS A PROVISION THAT REQUIRES YOU TO RESOLVE ALL DISPUTES WITH RAINDROPS KIDS ON AN INDIVIDUAL BASIS AND THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

This Agreement applies to your use of Raindrops Kids' educational games, interactive learning content, website, downloadable apps, or other services that HighWaters Labs LLC, operating as Raindrops Kids ("Company," "we," or "us") provides at raindrops.kids or any other Raindrops Kids location that links to this Agreement (collectively, the "Services"). In this Agreement, "you" refers to a User of the Services (as defined below).

Your use of the Services also may be subject to additional terms, conditions, policies, rules or guidelines applicable to the Services or certain features of the Services that we post or provide to you. All such additional terms posted or provided to you during your use of the Services are hereby incorporated by reference into and form a part of this Agreement.

Our Services may change from time to time, which means the terms of this Agreement may change too. To the fullest extent permitted by applicable law, Raindrops Kids may amend, in whole or in part, the following sections of these Terms: (i) Amendments, (ii) User accounts, (iii) Use of the services, (iv) Prohibited Conduct, (v) Acceptable use and code of conduct, (vi) Fees, payment and renewing subscriptions, (vii) Raindrops Kids content and intellectual property rights, (viii) Important health warning about photosensitive seizures, (ix) Privacy, (x) Advertising, (xi) Third-party services, (xii) Governing law, (xiii) Arbitration and dispute resolution; class action waiver, (xiv) Indemnity, (xv) Warranty disclaimer, (xvi) Limitation of liability, (xvii) Termination, (xviii) Miscellaneous, (xix) Contact.

If we do update this Agreement, we will notify Users at least thirty (30) days before the update comes into effect. Such notice will be provided by posting the new version on our website and updating its "Effective Date." If you have an account, we will directly communicate any changes that materially increase the User's obligations or materially reduce Raindrops Kids' obligations under this Agreement to you (e.g., via the contact information associated with your account, or by displaying an alert upon login to the Services).

    User Accounts

To use the Services, you must create an account. Account creation is subject to the following requirements:

    • Age Requirement: You must be at least 18 years of age to create an account. If you are under 18, you may not create an account on the Services.
    • Parental Authority: Parents or legal guardians who are 18 or older may create child profiles within their account for their children. Parents maintain full control and responsibility for all child profiles linked to their account.
    • Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials, restricting access to your account, and for all activities that occur under your account, including activities conducted by children using child profiles you have created.

    Use of the Services

Users must use the Services subject to and in compliance with this Agreement and all applicable local, provincial, state, national and international laws, rules and regulations. The Services, including all content, features and functionality thereof, are owned by Raindrops Kids or its licensors. Subject to this Agreement, Raindrops Kids grants you permission to access and use the Services, solely for your own personal, non-commercial use, and not for the use or benefit of any third party. We reserve all rights not expressly granted to you in the Services and the Raindrops Kids Content (as defined below). We may also impose limits on certain services and/or features or restrict your access to parts or all of the Services, in our sole discretion and without notice.

You are solely responsible for any activity that occurs through your account, for maintaining the confidentiality of your account information and password, and for restricting access to your account and your computer. If your account has been compromised or if you suspect unauthorized use of your account, notify us immediately at the contact information provided at the bottom of this Agreement. Without limiting the foregoing, parents who create child profiles for minor children are responsible for the acts and activities of those children in connection with the use of the Services, and this Agreement and Raindrops Kids' Privacy Policy will apply to those minor children's use of the Services.

Important Health Warning About Photosensitive Seizures

A very small percentage of people may experience a seizure when exposed to certain visual images, including flashing lights or patterns that may appear in video games or other visual content. Even people who have no history of seizures or epilepsy may have an undiagnosed condition that can cause these "photosensitive epileptic seizures" while watching certain video games or other visual content.

These seizures may have a variety of symptoms, including lightheadedness, nausea, dizziness, involuntary eye or face twitching, jerking or shaking of arms or legs, disorientation, confusion, or momentary loss of awareness. Seizures may also cause loss of consciousness or convulsions that can lead to injury from falling or striking nearby objects.

Immediately stop using the Services and consult a doctor if you experience any of these symptoms. Parents should watch for or ask their children about the above symptoms. Children and teenagers are more likely than adults to experience these seizures.

The risk of photosensitive epileptic seizures may be reduced by taking the following precautions:

    • Sit or stand as far from the screen as possible.
    • Use the smallest available screen.
    • Take frequent breaks from the Services.
    • Consult a doctor before using the Services if you or anyone in your family has an epileptic condition.

Raindrops Kids Content and Intellectual Property Rights

The Services contain content owned or licensed by Raindrops Kids ("Raindrops Kids Content"). Raindrops Kids Content is protected by copyright, trademark, patent, trade secret and other laws, and Raindrops Kids owns and retains all rights in the Raindrops Kids Content and the Services. Raindrops Kids hereby grants you a limited, revocable, non-sublicensable license to reproduce and display the Raindrops Kids Content (excluding any software code) solely for your personal, non-commercial use in connection with viewing the Services on a personal computer or mobile device in accordance with this Agreement. The Raindrops Kids Content may not be used, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of Raindrops Kids. You agree not to alter or delete any proprietary notices from materials downloaded from the Services.

    Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Services, to understand our practices.

    Advertising

Raindrops Kids does not currently display advertisements to children using the Services. We may display promotional content related to our own services and features. This section is reserved for future use. If we decide to implement advertising in the future, we will update this Agreement and obtain any necessary parental consents required by law before displaying advertisements to children.

    Third-Party Services

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Raindrops Kids. Raindrops Kids has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites, services, or resources. You acknowledge and agree that Raindrops Kids shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites, services, or resources.

    Warranty Disclaimer

You acknowledge that Company has no control over, and no duty to take any action regarding: which users gain access to the Services; what Raindrops Kids Content you access via the Services; how you may interpret or use the Raindrops Kids Content or the Services; or what actions you may take as a result of having been exposed to the Raindrops Kids Content. Raindrops Kids cannot guarantee the security and safety of the Services given the nature of the Internet and the persistence of bad actors. You hereby release Company from all claims, damages, losses or liabilities related to your use of the Services or the Raindrops Kids Content.

THE SERVICES AND RAINDROPS KIDS CONTENT ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

OTHER THAN AS EXPRESSLY STATED IN WRITING, RAINDROPS KIDS MAKES NO REPRESENTATION OR WARRANTY THE SERVICES (1) WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS OR BE TO YOUR LIKING; (2) WILL BE TIMELY, ACCURATE, FREE FROM ERRORS OR LOSS, UNINTERRUPTED, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; OR (3) WILL BE CORRECTED, REPAIRED OR OTHERWISE RESTORED FOR ANY DEFECTS OR ERRORS THAT OCCUR - SOME FEATURES ARE EXPERIMENTAL AND HAVE NOT BEEN TESTED.

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, NO ADVICE OR INSTRUCTION, WHETHER ORAL OR WRITTEN, OBTAINED BY THE USER FROM COMPANY SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

    Limitation of Liability

This clause does not apply to consumers residing in Quebec:

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY OR ITS AFFILIATES, SUPPLIERS, OR BUSINESS PARTNERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE WITH RESPECT TO THE SERVICES OR THE SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY (I) FOR ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE GREATER OF $100 OR THE FEES PAID BY YOU TO COMPANY HEREUNDER DURING THE 12-MONTH PERIOD PRECEDING THE APPLICABLE CLAIM; (II) FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER; (III) FOR DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR (IV) FOR ANY MATTER BEYOND COMPANY'S REASONABLE CONTROL. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

WHERE A JURISDICTION DOES NOT ALLOW LIMITATION OF IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SOME OF THE ABOVE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, COMPANY'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

    Indemnity

You agree to defend, indemnify and hold harmless Raindrops Kids and its subsidiaries, agents, licensors and affiliates, and their employees, contractors, agents, officers and directors from claims, damages, obligations, losses, cost or debt and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Raindrops Kids Content and/or the Services, including any data or content transmitted by you; (ii) your violation of any term of this Agreement, including but not limited to your breach of any representations or warranties; (iii) your violation of any third-party right, including but not limited to any right of privacy or intellectual property rights in connection with your use of the Services; (iv) any content or information that is submitted via your account or use of the Services; or (v) any other party's access and use of the Services with your account credentials.

    Termination

You may terminate your use of the Services at any time. Raindrops Kids may terminate or suspend your access to the Services or your account at any time, without prior notice or liability, if you violate any term or condition of this Agreement, if your account is inactive for a period of time, or for any other reason, which may result in the forfeiture and destruction of all information associated with your account, including progress and any upgrades or features obtained or purchased in any Raindrops Kids game. Upon termination of your account, your right to use or access the Services and any Raindrops Kids Content will immediately cease.

This Agreement shall remain in full force and effect until terminated by Raindrops Kids. For clarity, your termination of your use of the Services or deletion of your account, or Raindrops Kids' termination or suspension of your account, does not terminate this Agreement.

    Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Arbitration and Dispute Resolution; Class Action Waiver

This clause does not apply to consumers residing in Quebec:

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Most user concerns can be resolved quickly and to the user's satisfaction by contacting our customer support team at support@raindrops.kids. In the unlikely event that our customer support team is unable to resolve a complaint you may have to your satisfaction (or if we have not been able to resolve a dispute we have with you after attempting to do so informally), we each agree to resolve those disputes through binding arbitration or small claims court instead of in courts of general jurisdiction.

Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. You agree that, by entering into this Agreement, you and Raindrops Kids are each waiving the right to a trial by jury or to participate in a class action.

    Arbitration Procedures

Arbitration Rules: The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this Agreement. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

Initiating Arbitration: To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent at 30 N Gould St Ste 59786, Sheridan, WY 82801-6317 US. The arbitration will be conducted by a single arbitrator.

Arbitration Location: The arbitration will take place in the county where you live or in Sheridan, Wyoming, at your choice.

Arbitration Costs: Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. If your claim is for less than $10,000, we will reimburse you for filing fees you pay to the AAA and pay all administration and arbitrator fees, unless the arbitrator finds your claim frivolous.

Opt-Out Right: You may opt out of this arbitration agreement within 30 days of first accepting this Agreement by sending written notice of your decision to opt out to support@raindrops.kids with the subject line "Arbitration Opt-Out." Your notice must include your name, address, and account information. Opt-out does not affect any other terms of this Agreement.

Class Action Waiver: You and Raindrops Kids agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and that neither you nor Raindrops Kids will seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which you or Raindrops Kids acts or proposes to act in a representative capacity.

Exception for Small Claims: Either party may bring a qualifying claim in small claims court as an alternative to arbitration.

    Miscellaneous

The failure of either party to exercise, in any respect, any right provided for herein shall not be deemed a waiver of any further rights hereunder. In the event of unauthorized disclosure of personal information, Company will notify account holders where required by law at the contact information associated with the account. Company shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Company's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sublicensable by you except with Company's prior written consent. Company may transfer, assign or delegate this Agreement and its rights and obligations without consent. Both parties agree this Agreement is the complete and exclusive statement of the mutual understanding relating to the subject matter of this Agreement, and all modifications must be in writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind the Company in any respect whatsoever. Headings for each section have been included above for your convenience, but such headings do not have any legal meaning, and may not accurately reflect the content of the provisions they precede. Except as expressly set forth in this Agreement, you and Company agree there are no third-party beneficiaries intended under this Agreement.
